Terms of Service

These Terms of Service ("Terms") govern your access to and use of InstaKaraoke, a software-as-a-service platform ("Service"). By accessing or using InstaKaraoke, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Service Description

InstaKaraoke is a web-based application that allows users to create karaoke and lyric videos utilizing AI-driven lyrics synchronization, vocal separation, and video editing tools. The Service functions exclusively as a technical tool and platform for users to manage their own content. We do not endorse, pre-screen, or assume responsibility for any content generated by users.

2. User Restrictions

The Service is designed for users aged 13 and above. You bear full and exclusive responsibility for ensuring that your use of the Service, as well as any content you create, upload, or process through it, adheres to all relevant local, provincial, federal, and international laws, regulations, and rules. This includes, but is not limited to, those related to copyright, intellectual property, privacy, and data protection.

3. Account Registration

To use the Service, you may need to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

4. Subscription, Credits, and Payments

InstaKaraoke is available through subscription plans and may include pay-per-use credit purchases. All payments are processed by secure third-party providers, including Stripe. You agree to pay all fees and applicable taxes in accordance with your selected plan. All payment information is managed by the third-party provider and is not retained by us.

4.1 Subscription Credits

Each subscription plan includes a monthly allocation of credits as described on our pricing page. Subscription credits are provided solely for use during the active billing period in which they are allocated. Unused subscription credits expire at the end of each billing period unless your plan explicitly includes credit rollover, in which case rollover is subject to the limits specified in your plan. Upon cancellation, expiration, or termination of your subscription, any remaining subscription credits are forfeited and cannot be redeemed, transferred, or refunded.

4.2 Purchased Credits (Top-Ups)

Credits purchased separately ("top-up credits") are valid for one (1) year from the date of purchase. Top-up credits do not require an active subscription to be used and remain available in your account regardless of your subscription status, subject to their expiration date. Top-up credits are non-refundable and non-transferable.

4.3 Credit Consumption Order

When you use the Service, subscription credits are consumed first. Top-up credits are consumed only after subscription credits for the current billing period have been exhausted.

4.4 General Credit Terms

Credits have no cash value and cannot be exchanged for currency, transferred to another account, or sold. We reserve the right to modify credit pricing, allocations, and consumption rates with reasonable notice. Any such changes will not affect credits already purchased or allocated prior to the effective date of the change.

5. Free Access

While the Service does not offer a traditional free trial, users may access the Service without a subscription plan at no cost, and no credit card is required for initial access. Certain AI-powered features require credits to use.

6. User-Generated Content

All content generated by users on the platform remains the property of the user. Users bear full responsibility for the use and distribution of their content. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, modify, and distribute your content on the Service solely for the purposes of operating, developing, and improving the Service.

7. Copyright and Licensing

The Service does not provide commercial licenses for the content generated. Users are responsible for securing the necessary licenses if they wish to use or distribute the content for commercial purposes. You are solely responsible for ensuring that you have the necessary rights to use any songs, lyrics, or other content with our Service.

8. AI-Generated Content Disclaimer

Our AI tools are intended to facilitate vocal separation, lyrics synchronization, and transcription. Although we aim for precision, the outcomes produced by our AI may be inconsistent, imperfect, or contain errors. We do not guarantee flawless synchronization, accurate lyric transcription, complete vocal separation, or any particular quality of output. You acknowledge that AI-generated content has inherent limitations and should be reviewed and verified by you.

9. Refunds Policy

Refunds are issued solely for confirmed technical failures of the Service (for instance, a total inability to export a video following payment, or a system error that obstructs the delivery of core functionality). Refunds are not provided for subjective dissatisfaction with the output, user error, or in cases where a credit has been successfully utilized to initiate a process, even if the resulting output does not meet expectations due to the inherent nature of AI or user input.

10. Prohibited Uses

You agree not to use the Service:

  • For any unlawful purpose or in violation of any applicable laws
  • To upload content that infringes on intellectual property rights of others
  • To upload harmful, offensive, or inappropriate content
  • To interfere with or disrupt the Service or servers
  • To attempt to circumvent any security measures
  • To use automated systems to access the Service without permission
  • To impersonate any person or entity

11. Service Availability

We do not assure uninterrupted, error-free, or secure access to the Service. The Service may be temporarily unavailable due to maintenance, technical issues, or other factors beyond our control. The Service is offered on an "AS IS" and "AS AVAILABLE" basis.

12. Limitation of Liability

To the maximum extent permitted by law, InstaKaraoke shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Service; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

13. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. Your use of the Service is at your own risk. We make no representations or warranties of any kind, express or implied, as to the operation of the Service, or the information, content, materials, or products included on the Service.

14. Indemnification

You agree to indemnify and hold harmless InstaKaraoke, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any rights of another party, or any content you upload to the Service.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the date at the top of these Terms. By continuing to use the Service after the changes become effective, you agree to be bound by the revised Terms.
